Sep 28, 2012. /Lesprom Network/. Crown Van Gelder N.V. (CVG) announces its intention to appoint Jacques van den Hoven and Henk van Houtum as members of its Supervisory Board. The proposed appointments will be submitted for approval at the Extraordinary General Meeting of Shareholders (EGM) on 9 November 2012, as the company said in the press release received by Lesprom Network. With these proposed appointments, CVG anticipates the expiration of the final term of Klaas Schaafsma as member of the Supervisory Board in May 2013. Simultaneously, the current Chairman of the Supervisory Board, Berry Bemelmans, has decided to step down in May 2013, one year before the end of his final term. When accepting this final term Mr. Bemelmans already indicated his intention to shorten the total period. In the light of the strategic review which is currently in progress, the Management and Supervisory Board attach great importance to a thorough introduction and a smooth transfer of responsibilities to the intended new members of the Supervisory Board. The Supervisory Board will be temporarily expanded, and with the resignation of Mr. Schaafsma and Mr. Bemelmans will be brought back to 5 members after the Annual General Meeting of Shareholders on 16 May 2013. Mr. Jacques van den Hoven is a former member of the Management Board of Heijmans N.V. He currently holds various Supervisory Board positions. Mr. Van den Hoven has ample managerial expertise. After his appointment as Supervisory Board member and after the retirement of Mr. Bemelmans the Supervisory Board intends to nominate Mr. Van den Hoven as chairman of the Supervisory Board of CVG. Mr. Henk van Houtum is Director Strategy and Innovation at Van Houtum, an independent producer of hygienic paper in the Netherlands. With Mr. Van Houtum's vast knowledge of the paper sector he will be able to make a valuable contribution to the Supervisory Board in the areas of company strategy, production technology and innovation. There is no (anticipated) business relationship between CVG and the Van Houtum company. The Supervisory and Management Board of CVG are convinced that with these proposed appointments, the Supervisory Board is well positioned to provide continuity in the cooperation with the Management Board to execute CVG s strategic review in progress. The Works council and the General Meeting of Shareholders have a right of recommendation in respect of the two vacancies in the Supervisory Board.
