Marketplace Subscription Terms
This User Agreement is an addition to the General Terms and Conditions and Marketplace Terms of Use and govern your use of a paid subscription to marketplace services (hereinafter Subscription) provided by Lesprom Network, inc., a Delaware corporation (hereinafter Lesprom Network), in accordance with the Plans and Prices . By subscribing, paying for a subscription, accessing Lesprom Network's paid services, you thereby confirm your agreement with these User Agreement. The terms “you” and “your'' mean a person (individual, company, corporation, partnership, individual entrepreneur or government agency) who concludes an agreement on subscription to the Marketplace services with Lesprom Network on these terms.
A person with a purchased Subscription becomes an Authorized User of the Subscription. If you purchase multiple accesses, only employees of your organization can be Authorized users.
1. Rights and restrictions
1.1. Authorized Users are granted a non-exclusive, non-transferable, limited right to access and use the Subscription in accordance with the paid plans.
1.2. The use of the Subscription by unauthorized users is prohibited;
1.3. Subscription is protected by intellectual property, copyright and other laws that prevent unauthorized access to and unauthorized use of them. An unauthorized user is not permitted to access or use Subscription. If you, while not an authorized user, access and use Subscription that require a payment, your actions will be governed by this agreement. You will be held liable for unauthorized access and payment in accordance with the applicable prices indicated in the Plans and Prices.
1.4. It is prohibited to use the Subscription in any way that violates the property interests or intellectual property rights of Lesprom Network or any third party. Your use of the Subscription must comply with the law.
1.5. Other terms of use of the Subscription are contained in the applicable Plans and Prices, as well as online descriptions on the website at www.lesprom.com.
1.6. The login credentials for the user account at www.lesprom.com required to access the Subscription may only be used by the user to whom they are assigned. These credentials cannot be shared or used by any other person. You are responsible for monitoring and managing your list of Authorized Users and you agree to immediately deactivate the Authorized User's access if he is no longer an authorized person or if you wish to terminate his access to the Subscription.
1.7. You are responsible for any use of the Subscription accessed using the registration information given to your Authorized Users and will promptly notify Lesprom Network if you suspect that the login information for your user account has been lost, stolen or misused.
1.8. Lesprom Network may make changes, improve, add, withdraw or otherwise modify the marketplace services and Subscription without notice at any time and in any way to Authorized Users. Such changes take effect immediately. Please, every time you visit www.lesprom.com, read these terms and conditions and the current Plans and Prices. Your use of the Subscription following the posting of changes will constitute your acceptance of the amended terms.
2. Limited warranty
2.1. Lesprom Network represents and warrants that it has the right and authority to provide Subscription to users in accordance with the terms of this agreement.
2.2. You agree that your use of the marketplace services and Subscription is at your own risk and that the Services are provided on an "as is" and "as available" basis, and that Lesprom Network and third party data providers do not provide any warranties, express or implied, in relation to the Services, including, but not limited to, their commercial value or suitability for a particular purpose of use.
3. Limitation of liability
3.1. Lesprom Network, as well as any of its officers, directors, employees, contractors, agents and successors, are not liable for any loss, claim, liability or damage of any kind arising in any way as a result of:
3.1.1. Your use of the marketplace services and Subscription;
3.1.2. Unavailability or interruptions in the operation of the Site or any of its functions;
3.1.3. Loss of or damage to equipment related to the marketplace services and Subscription;
3.1.4. Any delay or malfunction beyond the reasonable control of Lesprom Network;
3.1.5. The content, accuracy or completeness of the information on the Site;
3.1.6. Any errors or omissions in the Subscription and information on the Site.
3.2. Lesprom Network is not responsible for the temporary or permanent loss of access to the Subscription as a result of changes in the user's email address or contact information, intentionally or unintentionally.
3.3. You agree, at your own expense, to indemnify, protect and indemnify Lesprom Network, its directors, officers, employees, representatives and successors from any claims, damages, obligations, costs and expenses, including reasonable attorney and expert fees, arising in connection with the use of the marketplace services and Subscription.
4. Subscription termination policy
4.1. Unless you cancel your Subscription with termination notice four (4) weeks before the end of your Subscription, your Subscription will automatically renew. The notice must be sent in writing with a signature to the email address [email protected], indicating in the subject “ATTN: Customer Relations Dept”. No further justification for canceling the subscription is required. The agreed subscription price will increase by five percent annually.
4.2. Any additional information or exceptions to this agreement will be indicated in the information posted on the website www.lesprom.com.
5. Refund policy
5.1. Refund is only possible within 10 days from the date of payment, after this period the refund is not made. Refunds are made only if the following conditions are met:
5.1.1. Your account must be unused;
5.1.2. You will provide Lesprom Network with a receipt or other proof of purchase.
5.2. Refunds are made after verification of the refund application and supporting documents. If the application is approved, the funds will be returned to your account within 14 days.
6. Additional terms
6.1. Lesprom Network may change these User Agreement, Subscription price, marketplace services and payment terms over time. Such changes will take effect immediately upon notification to you of the relevant changes, and if applicable, or if any changes are made to these subscription terms, such changes will only apply prospectively and simultaneously to all Lesprom Network customers.
6.2. This User Agreement may not be supplemented or otherwise modified by any user without a signed written document duly executed by authorized representatives of both parties. Any terms and conditions you suggest that supplement or conflict with this agreement are expressly rejected by Lesprom Network and will not be valid.
6.3. In the event of a user breach of these terms, Lesprom Network may temporarily suspend or terminate the offending party's access to the Subscription without notice, in addition to using any other remedies available to Lesprom Network.
6.4. This User Agreement constitutes the entire agreement of the parties with respect to the subject matter of the agreement and supersedes any previous written or oral statements or suggestions regarding this subject matter.
