Rengo Co., Ltd. will merge its consolidated subsidiaries Howa Sangyo Co., Ltd. and Nissio Gravure Co., Ltd. through an absorption-type merger effective 1 April 2026. Howa Sangyo will be the surviving company in the transaction, which is designed to improve management efficiency across the Rengo Group.

In conjunction with the merger, Howa Sangyo will establish a new wholly owned subsidiary to take over the machinery sales business currently operated by Nissio Gravure. The merger will not involve a share issuance or capital increase, as Howa Sangyo is absorbing a company it already wholly owns.
