Mar 18, 2005. /Lesprom Network/. Bazovi Element will continue to persuade majority shareholders of Arkhangelsky pulp and paper enterprise (Arkhangelsk region, Russia) to change the current trader. Wilfried Heinzel is ready to sell Arkhangelsky goods, however Arkhangelsky is not ready to change the current trader. According to Arkhangelsky, the current trader Archbum offers equally good conditions.
On March, 5 2005 Yuri Tyamushkin, member of the board of directors representing Bazel, filed a request to the chairman of the board Heinz Zinner demanding an urgent general meeting by March, 16. According to Tyamushkin, he suggested discussing the strategic development of the enterprise, business-plan for 2005 and the offer received from Wilfried Heinzel, that is ready to become trader for Arkhangelsky, Vedomosti-daily reported. Yuri Tyamushkin said that Wilfried Heinzel suggested selling Arkhangelsky pulp for $400-440 per ton, while Archbum is currently acquiring pulp from Arkhangelsky for $300 per ton. According to the estimations made by Bazel, Arkhangelsky is losing $15 million of profits annually, while the money is accumulated by Archbum.
In an interview to Vedomosti-daily Wilfried Heinzel CEO Andrew Paul confirmed that the company was ready to sell Arkhangelsky goods. According to Andrew Paul, a year ago, after Wilfried Heinzel sold its stake of Arkhangelsky to Bazel, it was excluded from the list of traders, while the company is quite eager to regain the status.
Chairman of the board Heinz Zinner said, that he rejected the request filed by Yuri Tyamushkin to hold an urgent general meeting. According to Heinz Zinner, the meeting was impossible because all the members of the board of directors were not able to gather on March, 16. Heinz Zinner added, that he had studied the offer filed by Wilfried Heinzel, however the decision on the change of trader should be taken by the managamenet and not the board of directors. Heinz Zinner would not comment on the initiative of Wilfried Heinzel. However Arkhangelsky sales director Anton Loiter said that the conditions offered by Wilfried Heinzel did not differ much from those currently offered by Archbum. According to Anton Loiter, Archbum is currently selling pulp on the European markets at $400 per ton, earning 3% interest and there is no sense in changing the trader which would not have any effect on the enterprise's operation.
According to Lesprom Industry Consulting analist Inna Kvaskova, Russian pulp is currently traded at $400 per ton in Europe and the pulp produced by Arkhangelsky is not an exclusion. However Arkhangelsk and Archbum practice transfer price-forming, which allows the trader to get hold of part of the earnings. By changing the trader, Bazel is intendting to return the funds to the enterprise and control the obtained money, Inna Kvaskova said. However Bazel has an insufficient number of votes in the board of directors to change the trader.
