Change in Groupe Gascogne’s corporate governance structure
May 26, 2005. At a specially convened meeting of Groupe Gascogne’s Supervisory Board on Thursday 19 May 2005, the Supervisory Board decided to propose a change in Groupe Gascogne’s corporate governance structure to shareholders, with the switch to a Board of Directors instead.
May 26, 2005. /Lesprom Network/. At a specially convened meeting of Groupe Gascogne’s Supervisory Board on Thursday 19 May 2005, the Supervisory Board decided to propose a change in Groupe Gascogne’s corporate governance structure to shareholders, with the switch to a Board of Directors instead.
The Supervisory Board decided that this type of structure is better suited to the rapid implementation of the Group’s strategy.
This plan will be put a vote of Groupe Gascogne’s shareholders at a Combined General Meeting that has been convened on Tuesday 5 July 2005 in Bordeaux, during which shareholders will also have to appoint the members of the Group’s future Board of Directors.
The Management Board, which met on 23 May 2005, expressed support for all the resolutions proposed by the Supervisory Board.
Messrs Jacques Loppion and Pierre Neurisse, who are currently members of the Supervisory Board, tendered their resignation at the 19 May meeting.
