Pfleiderer AG agreed on May 16, 2007 through its subsidiary Pfleiderer Grajewo S.A., domiciled in Grajewo (Poland), with the Polish State Treasury the purchase price for the remaining 43.15% of the shares of Pfleiderer Prospan S.A., domiciled in Wieruszów (Poland), which are currently held by the Polish government. The 1.06 million shares in Pfleiderer Prospan S.A. will be acquired for a price of PLN 307 per share (Euro 81.4 per share). The total value of the transaction is thus PLN 326.2 million (Euro 86.5 million). After completion of the transaction, Pfleiderer Grajewo S.A. will hold 99.85% of the share capital of Pfleiderer Prospan S.A. The remaining 0.15% of share capital are owned by employees. The parties agreed to commence immediately the actions aiming at conclusion of the sale agreement for the shares in Pfleiderer Prospan S.A. MDAX-listed Pfleiderer AG is a leading supplier of engineered wood, surface finished products and laminate flooring. With around 5 200 employees and production sites in Western Europe, Eastern Europe and North America, the Pfleiderer Group posted revenues exceeding Euro 1.4 billion in fiscal 2006. By internationalizing its business operations, Pfleiderer expects to further increase its non-German based revenue, currently contributing around 68% to the group.
