Sonae Indústria, SGPS, SA announces that at meeting of the board of director’s it has decided to launch a public offer over 39,546,174 shares of Tableros de Fibras, SA (Tafisa). The price to be paid for each share is Euro 1.54, and the offer is subject to registration and final approval by the Spanish Securities Market Commission (Comision Nacional del Mercado de Valores). Although not being a condition, Sonae Indústria’s purpose is to acquire all outstanding Tafisa shares. It is further announced that it has also been decided to propose to the board of directors of Tafisa to convene an extraordinary shareholders’s general meeting to decide the delisting of Tafisa shares. Sonae Indústria is the most important Portuguese group of companies manufacturing wood based products. The products range includes: particleboard; MDF; hardboard; OSB; production and sales of value added products and services - components, solutions and systems - for the furniture, building, decoration and do-it-yourself industries.
